Terms of Service

1. Who we are

The League Agency is a creative studio based at 2 Ceibas, Quebradillas, Puerto Rico 00678. We operate under the laws of the Commonwealth of Puerto Rico and applicable federal laws of the United States of America.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract. If you are acting on behalf of a company, you represent that you are authorized to bind it.

3. Proposals, quotes and contracts

Any proposal or quote is an invitation to negotiate and does not constitute a binding contract until both parties sign a written agreement (the "Project Agreement") and the initial deposit is received. In the event of a conflict between these Terms and the Project Agreement, the Project Agreement prevails for that specific project.

4. Payments and invoicing

• Payments are invoiced in US dollars (USD).
• Unless otherwise agreed, a 50% deposit is required to start the project and the balance is due at final delivery.
• Invoices are due within 15 days. Overdue invoices accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
• The client is responsible for the applicable Puerto Rico sales and use tax (IVU) and for any other state or federal taxes that may apply.

5. Revisions and approvals

Each phase includes a defined number of revision rounds, stated in the Project Agreement. Additional revisions or scope changes are billed hourly or per project as applicable.

6. Intellectual property

All concepts, drafts, explorations and working materials remain the property of The League Agency until the project is paid in full. Once paid, usage rights to the final deliverables are transferred to the client as detailed in the Project Agreement. We reserve the right to display the work in our portfolio, social channels and marketing materials. Typefaces, stock imagery, plugins and third-party assets are licensed separately under their respective owners' terms.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the project. This obligation survives the termination of the Project Agreement.

8. Acceptable use of the website

You may not use the website for illegal activities, to infringe the rights of third parties, or to interfere with its operation (reverse engineering, mass scraping, denial-of-service attacks, etc.).

9. Warranties and disclaimer

The Services and the website are provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all express or implied warranties, including those of merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, The League Agency shall not be liable for indirect, incidental, special, consequential or punitive damages. Our total liability, for any cause, shall not exceed the amount paid by the client in the six (6) months prior to the claim.

11. Termination

Either party may terminate the project for a material breach not cured within 15 days of notice. The client will pay for all work performed up to the termination date.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Commonwealth of Puerto Rico and, where applicable, the federal laws of the United States of America, without regard to conflict-of-law principles. Any dispute shall be submitted to the exclusive jurisdiction of the Puerto Rico state courts located at the Aguadilla Judicial Center, or the federal courts for the District of Puerto Rico, as applicable.

13. Changes to these Terms

We may update these Terms from time to time. The current version will always be published on this page with its update date.
